INTRODUCTION
These terms and conditions govern your use (“the Licensee”) of CEOP material subject to approval and receipt of the confirmation that the licence agreement has been granted.
Subject to these provisions and agreement the Child Exploitation and Online Protection (CEOP) Centre, 33 Vauxhall Bridge Road, London, SW1V 2WG, as an affiliate of the Serious Organised Crime Agency (“the Licensor”) may grant the Licensee a limited non-exclusive licence to use content listed and identified, free of charge, subject to the restrictions set out below.
USE OF MATERIAL
The Materials requested (Licensed Materials) are for the sole purpose of furthering the education of children, young people and adults in relation to online safety and reporting abuse to specialist police officers.
INTELLECTUAL PROPERTY RIGHTS
The content, layout, design, data, databases and graphics on this website are protected by UK and other international intellectual property laws and are owned by the agency or its licensors. Except as may be permitted by the Copyright, Designs and Patents Act 1988 or any other relevant UK legislation YOU SHALL NOT:
- Download, reproduce, dispose or display the material (in any medium) for any other purpose than that permitted and you further agree not to modify the material provided;
- Create any derivative work or make any other adaptation;
- Modify the content in any way or display the graphics separately from any accompanying text;
- Sell, rent or sub-licence material from the website;

LIMITATION OF LIABILITY
To the fullest extent permitted by law the agency shall in no event be liable for any loss or damages whatsoever or however caused, arising directly or indirectly in connection with this licence, the material provided or its use and expressly excludes:
- All conditions, warranties and other terms which might otherwise by implied by statute, common law or the law of equity;
- Any liability caused by a force majeure event;
- Any obligation of effectiveness or accuracy; and
- Any liability for any direct, indirect or consequential loss or damage incurred by you in connection with this agreement; including by your use or inability to use any information on our website or within any publication subscribed to, via any websites linked to our websites and any material posted on it including without limitation any liability for loss of income or revenue, loss of business, loss of profits or contracts, loss of data, loss of goodwill, wasted time and for any other loss or damage of any kind, howsoever and whether caused by tort including negligence nor for liability for fraudulent misrepresentation or misrepresentation as to a fundamental matter nor any other liability which cannot be excluded or limited under applicable law. The licensee hereby indemnifies the Licensor and undertakes to keep the Licensor indemnified against any losses, damages, costs, liabilities and expenses (including without limitation legal expenses and any amount paid by us to a third party in settlement of a claim or dispute on the advice of our legal advisers) incurred or suffered by us arising out of any breach by you of any provision of these terms and conditions
VARIATION
These terms and conditions may be revised from time to time. The revised terms and conditions will apply to the use of our material from the date of publication.
ASSIGNMENT
The Licensor may transfer, sub-contract or otherwise deal with its rights and /or obligation under these terms and conditions without notifying or obtaining the consent of the Licensee.

SEVERABILITY

EXCLUSION OF THIRD PARTY RIGHTS

ENTIRE AGREEMENT
These terms and conditions, together with confirmation from the Licensor granting the licence, constitute the entire agreement between the Licensor and Licensee in relation to the use of material and supersede all previous agreements in respect of your use of this material.
CONDUCT
The Licensee must not use the website in any manner howsoever, that causes or is likely to cause the website or access to it to be interrupted, damaged or impaired in any way. You understand that you are solely responsible for all electronic communications and contents sent from your computer. You must use the website for lawful purposes only.
PRIVATE POLICY
Any information provided to the Child Exploitation and Online Protection (CEOP) Centre by users through this site will be treated in confidence and will not be disclosed to third parties unless required to do so by law. Where the provision of personal data is required to enable CEOP to provide a specific service to the user, the details collected will only be used for policing purposes.
The CEOP reserves the right to gather information relating to site usage. Any information gathered is for internal use to allow service improvement. Where appropriate it may be used in support of the policing purposes as provided for in legislation.

BREACH
Without prejudice to our rights under these terms and conditions, if the Licensee breaches these terms and conditions in any way, the Licensor may take such action as deemed appropriate to deal with the breach.

The Licensor may terminate this licence by notice if you are in breach of any term, condition or provision of this licence.
JURISDICTION
These terms and conditions shall be governed and construed in accordance with the laws of England and Wales, and any disputes relating to those terms and conditions will be subject to the non- exclusive jurisdiction of the courts of England and Wales, although we retain the right to bring proceedings against you for breach of these conditions in your country of residence or other relevant country.
AGREEMENT
Following acceptance of these terms and conditions and the receipt of relevant information the Licensor will consider all applications for use of its material. Acceptance by the Licensor will occur upon receipt of a written confirmation that the License has been granted.
The Licensee shall be deemed to have accepted the terms of this licence by publishing the material requested.
